Times Co. chairman NEW YORK TIMES NEWS SERVICE NEW YORK- Carol Fox Sulzberwife of Arthur Ochs Sulzberger, chairman of The New York Times and an active volunteer with foundations and social-service organizations, died of cancer Thursday in her Southampton, N.Y., home. She was 68. Mrs. Sulzberger was a director of the New York City Police Foundation.

At one time, she also served on the board of the National Urban League, the New York Urban League, Social Service, the Girl Scouts of Greater New York and the Cooperative Education Association. "She carried a very heavy schedule without talking a lot about it," said a friend, Margaret Greenfield. Greenfield and another friend of many years, Sydney Gruson, said friends would remember Mrs. Sulzberger as a woman who jealously guarded the time she spent with her family, her antiques hunting and her passion for the company and conversation of intimates. "She had a wry sense of humor," Gruson said.

"And she was the most direct, honest woman I have ever known." An avid reader of The Times, Mrs. Sulzberger especially championed its coverage of fashion and the arts. She was born in New York City, the daughter of Estelle and David Fox. Fox had been president of Jay Thorpe, a New York women's specialty store that has since closed. Educated at the Dalton School, she was a graduate of Goddard College in Vermont.

In her youth, she spent a number of years with her family in Paris. In addition to her husband of 89 years, she is survived by two daughters, Cathy, of Chevy Chase, and Cynthia, of New York City; and two stepchildren, Karen, of Beverly Hills, and Arthur the publisher of The Times; and seven grandchildren. Milton Katz; administered Marshall Plan in Europe NEW YORK TIMES NEWS SERVICE -Milton Katz, a teacher and scholar of international law at Harvard Law School and former administrator of the U.S. Marshall Plan in Europe, died Wednesday in Beth Israel Hospital in Brookline, Mass. He was 87.

Mr. Katz joined the school in 1939 as a lecturer and was a law professor from 1954 to 1978, when he reached emeritus status. During one of his leaves of absence for government service he was made an ambassador and special U.S. representative in Europe in the early 1950s, succeeding W. Averell Harriman.

His role as director of the Economic Cooperation Administration-popularly known as the Marshall Plan, after Secretary of State George Marshall-established his international reputation. Mr. Katz was born in Manhattan and graduated from Harvard College and Harvard Law School. In between he took part in an anthropological expedition across Central Africa for Harvard's Peabody Museum. Before he returned to Harvard, he was a lawyer for the Reconstruction Finance Administration and the National Recovery Administration, special counsel to the Securities and Exchange Commission and special assistant to the U.S.

attorney general. He was appointed a professor at Harvard in 1940. Besides international law, he was versed in administrative and constitutional law and taught courses in torts, civil procedure and the regulation of elections and campaign financing as well. He helped to establish Harvard Law School's International Legal Studies program and directed it from 1954 to 1974. In those years the law school began its initial expansion into international law, adding several professorships and a building and library to accommodate it.

Former Dutch economic minister ASSOCIATED PRESS DORDRECHT, NetherlandsGijs van Aardenne, a former Dutch economic affairs minister whose political career was blighted by an accusation that he withheld information from parliament, died Thursday at age 65. Mr. Van Aardenne, a member of the Dutch senate, died of a muscle-wasting disease, Dutch television reported. He was accused of concealing information during a 1984 parliamentary investigation into the financial collapse of a governmentsubsidized shipyard. He retained his post.
